TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern the use of Afremov.com and all purchases made through Afremov.com. By accessing or using this website, creating an account, or placing an order, you agree to these Terms.

1. Seller and Contracting Entity

All products offered for sale through Afremov.com are sold exclusively by:

Leonid Afremov S. de R.L. de C.V. is the sole seller and contracting entity for purchases made through Afremov.com.

The use of payment processors, banks, shipping companies, warehouses, fulfillment providers, administrative offices, marketing companies, contractors, affiliates, or other service providers does not change the identity of the seller.

No affiliated company, service provider, payment processor, administrative office, contractor, representative, or other entity is a party to a purchase agreement made through Afremov.com unless expressly stated otherwise in a written agreement signed by Leonid Afremov S. de R.L. de C.V.

2. Purchase Agreement and Payments

By placing an order through Afremov.com, the Customer enters into a purchase agreement with Leonid Afremov S. de R.L. de C.V., subject to these Terms and the policies applicable to the order.

Payments may be processed through third-party payment providers. Use of any particular payment processor, bank, card network, payment account, or payment technology does not change the identity of the seller or contracting entity.

The Customer must provide accurate billing, shipping, and payment information.

An automated order confirmation confirms receipt of the order but does not limit our right to review, accept, refuse, or cancel the transaction as provided by these Terms.

3. Entire Agreement

These Terms, together with the applicable order confirmation, invoice, product description, Return and Exchange Policy, Shipping Policy, Privacy Policy, and any promotional terms specifically applicable to an order, constitute the agreement governing the transaction.

These documents supersede prior or contemporaneous oral or written communications concerning the transaction, except where applicable law provides otherwise.

4. Right to Refuse or Cancel Orders

Afremov.com and Leonid Afremov S. de R.L. de C.V. reserve the right, to the fullest extent permitted by applicable law, to refuse, cancel, and refund any order at any time before delivery.

This right includes, without limitation, orders involving:

• promotional offers or discount codes;

• pricing or technical errors;

• incorrect or unintended discounts;

• coupon stacking or misuse of promotions;

• inventory or product availability issues;

• payment or fraud concerns;

• incorrect product information;

• shipping or operational problems;

• abusive, threatening, fraudulent, or inappropriate customer conduct; or

• any other reasonable commercial or operational reason.

We are not required to provide a specific explanation for the cancellation except where required by applicable law.

If payment has already been collected for an order that we cancel, the amount paid for the cancelled merchandise will be refunded to the original payment method.

Once an order has been cancelled and the full amount paid for the cancelled merchandise has been refunded, neither Afremov.com nor Leonid Afremov S. de R.L. de C.V. has any further obligation to deliver the cancelled merchandise, except where otherwise required by applicable law.

A cancelled and fully refunded transaction does not entitle the Customer to purchase or receive the cancelled merchandise at the previous price, discounted price, promotional price, or any other price.

5. Customer Cancellation Requests

Customers may request cancellation of an order by contacting Afremov.com.

An unshipped order may generally be cancelled and refunded.

Once merchandise has shipped, a cancellation request will normally be treated as a return and will be governed by the applicable Return and Exchange Policy.

Refused shipments may be subject to applicable outbound shipping, return shipping, customs, or handling charges where permitted by law and by the applicable policy.

6. Promotional Offers, Coupons and Discounts

Promotional codes, coupons, special discounts, liquidation offers, limited-time promotions, email offers, and other promotional pricing are subject to their stated terms, eligibility requirements, availability, and duration.

Promotional offers may not be combined unless expressly authorized.

A website's technical ability to accept a coupon or discount code does not necessarily mean that the coupon is valid for a particular product or category.

Afremov.com reserves the right to cancel and refund orders involving unauthorized coupon use, coupon stacking, unintended discounts, technical errors, pricing errors, or use of a promotion outside its stated or intended terms.

If such a transaction is cancelled after payment, the amount paid for the cancelled merchandise will be refunded to the original payment method.

7. Pricing, Typographical and Technical Errors

We make reasonable efforts to ensure that prices, photographs, descriptions, discounts, product classifications, dimensions, and other information appearing on Afremov.com are accurate.

Errors may nevertheless occur.

If a product is listed with an incorrect price, discount, description, photograph, specification, availability status, or other material information, Afremov.com may correct the error and may refuse or cancel an affected order.

If payment has already been collected for an order that is cancelled because of such an error, the amount paid for the cancelled merchandise will be refunded.

8. Artwork Categories and Product Descriptions

Afremov.com offers different categories of artwork and art-related products.

Depending on the individual listing, these may include:

• unique original paintings created by Leonid Afremov;

• Limited Edition Original paintings;

• Afremov Studio recreations;

• original works created by Afremov Studio or gallery artists;

• mixed-media works;

• giclée prints;

• other prints and reproductions;

• framed and stretched artwork;

• paint-by-number products; and

• other decorative or art-related merchandise.

The individual product description and category identify the nature of the product being offered.

Customers are responsible for reviewing the complete product description before purchasing.

If a Customer has questions concerning authorship, classification, production method, signature, edition, size, materials, framing, or any other characteristic of an artwork, the Customer should contact Afremov.com before placing the order.

9. Signatures, Logos and Studio Works

Certain products may display the registered AFREMOV® mark or a stylized Leonid Afremov logo based upon Leonid Afremov's signature.

The presence of such a trademark or stylized logo does not by itself mean that the artwork is a unique original personally painted by Leonid Afremov.

Studio recreations may carry identification or the signature of the creating artist on the reverse.

Giclées, prints, limited editions, and other products may carry an authorized stylized Leonid Afremov logo or AFREMOV® trademark.

The applicable product description determines the classification of the artwork.

10. Artwork and Investment Disclaimer

Products offered through Afremov.com are sold primarily as artwork and decorative products.

Except for statements specifically describing the authorship and characteristics of an individual artwork, Afremov.com does not represent or guarantee that a purchase is a financial investment.

No guarantee is made regarding appreciation, future market value, auction value, resale value, liquidity, or future demand.

Historical prices, gallery prices, suggested retail prices, estimates, rarity, or previous sales do not guarantee future value.

Unique original paintings personally created by Leonid Afremov are specifically identified as such in their applicable listings and categories.

11. Shipping and Logistics

Shipping and logistics may be performed by independent third-party providers located in Mexico, the United States, China, Europe, or other countries.

Products may ship from a gallery, warehouse, fulfillment center, printing facility, production facility, or artist studio.

The country or location from which a product is shipped does not change the identity of the seller or contracting entity.

Some products are immediately available, while others may be produced or prepared after an order is placed.

Oil paintings may require additional production or drying time.

Delivery dates and shipping times displayed on the website or communicated to the Customer are estimates unless expressly stated otherwise.

Orders are shipped to the address provided by the Customer.

We may verify a shipping address and request confirmation or correction before dispatching merchandise.

Additional shipping terms are governed by the Afremov.com Shipping Policy.

12. Customs, Import Duties and Taxes

Customers are responsible for customs duties, import taxes, VAT, GST, brokerage charges, and similar governmental charges imposed by the destination jurisdiction unless expressly stated otherwise.

Taxes applicable to sales or deliveries within Mexico are handled in accordance with Mexican law.

International shipments may be subject to customs inspection and charges imposed by authorities or carriers over which Afremov.com has no control.

13. Returns and Exchanges

Returns, exchanges, refunds, and store credits are governed by the Return and Exchange Policy applicable to the transaction.

Returned merchandise must comply with the requirements of that policy.

Afremov.com may reject returned merchandise that does not qualify under the applicable policy or that has been damaged, altered, destroyed, or otherwise fails to satisfy the return requirements.

The Return and Exchange Policy published on Afremov.com should be reviewed before purchasing.

14. Customer Conduct

Customers are expected to communicate with Afremov.com employees, contractors, and representatives respectfully.

Harassment, threats, intimidation, abusive or obscene language, impersonation, fraud, or unlawful conduct may result in refusal of service or cancellation and refund of pending orders.

Afremov.com personnel are likewise expected to communicate professionally and respectfully with customers.

15. Orders Placed by Telephone, Email or Messaging Services

Orders may in some circumstances be arranged through telephone, email, WhatsApp, or another direct communication method.

By completing a purchase through such a method, the Customer agrees that the transaction is subject to these Terms and the applicable Afremov.com policies.

16. Notices and Communications

Afremov.com may communicate with Customers by email, telephone, messaging service, website notice, or other reasonable means using the information supplied by the Customer.

Communications may include order confirmations, payment information, shipping notifications, tracking information, address verification, customer-service communications, and other information related to the transaction.

Customer contact and address information may be provided to shipping carriers, payment providers, customs agents, and logistics providers where reasonably necessary to process payment, prevent fraud, or complete delivery.

17. Intellectual Property

The content appearing on Afremov.com, including artwork images, photographs, text, graphics, designs, logos, trademarks, product descriptions, and other materials, is protected by applicable copyright, trademark, and intellectual-property laws.

Purchasing a physical painting, print, giclée, or other product does not transfer copyright, reproduction rights, licensing rights, merchandising rights, or other intellectual-property rights unless expressly agreed in writing by the applicable rights holder.

No artwork image or other protected content from Afremov.com may be commercially reproduced, distributed, licensed, published, or used without authorization from the applicable rights holder.

18. Trademarks

AFREMOV®, Leonid Afremov®, Afremov.com, and associated marks and logos are protected trademarks and intellectual property.

Relevant United States trademark registrations include:

Serial No. 86443144 — Registration No. 4849413

The purchase of merchandise does not grant any right to use these trademarks commercially.

19. Privacy

Personal information is handled according to the Afremov.com Privacy Policy.

Information reasonably necessary to process payments, prevent fraud, fulfill orders, arrange shipping, complete customs procedures, and deliver merchandise may be provided to appropriate third-party service providers.

20. Website and User-Generated Content

Users may not upload, distribute, or publish through Afremov.com material that is unlawful, defamatory, threatening, obscene, fraudulent, infringing, abusive, or otherwise violates the rights of another person.

Afremov.com may remove or restrict content that it reasonably determines violates these Terms or applicable law.

21. Limitation of Liability

To the fullest extent permitted by applicable law, Leonid Afremov S. de R.L. de C.V., Afremov.com, and their officers, employees, representatives, contractors, agents, and service providers shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the use of the website or a transaction.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited under applicable law.

22. Indemnification

To the fullest extent permitted by applicable law, the Customer agrees to indemnify and hold harmless Leonid Afremov S. de R.L. de C.V., Afremov.com, and their officers, directors, employees, representatives, contractors, and service providers from losses, claims, damages, liabilities, and reasonable costs resulting from the Customer's unlawful conduct, infringement of third-party rights, misuse of the website, or material violation of these Terms.

23. Governing Law

To the fullest extent permitted by applicable law, these Terms and any transaction entered into through Afremov.com shall be governed by the laws of the United Mexican States and the applicable laws of the State of Quintana Roo, Mexico, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

24. Exclusive Jurisdiction and Venue

To the fullest extent permitted by applicable law, any dispute, claim, controversy, action, or legal proceeding arising out of or relating to Afremov.com, these Terms, an order, payment, promotion, cancellation, refund, shipment, return, or purchase of merchandise shall be subject to the exclusive jurisdiction of the competent courts of Quintana Roo, Mexico.

The Customer agrees, to the fullest extent legally permitted, to submit to the jurisdiction of those courts and to waive objections based upon venue or forum.

Nothing in these Terms is intended to waive any consumer right or remedy that cannot lawfully be waived under mandatory applicable law.

25. Time Limit for Claims

To the fullest extent permitted by applicable law, any claim arising out of or relating to Afremov.com or a transaction must be commenced within one (1) year after the claim accrues.

If applicable mandatory law requires a longer limitation period, the legally required period will apply.

26. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.

The remaining provisions shall continue in full force and effect.

27. No Waiver

Failure by Leonid Afremov S. de R.L. de C.V. or Afremov.com to enforce a provision of these Terms on one occasion does not constitute a waiver of that provision or any other right.

28. Assignment

To the extent permitted by applicable law, Leonid Afremov S. de R.L. de C.V. may assign or transfer its rights and obligations relating to the operation of Afremov.com as part of a corporate restructuring, sale, transfer of business, or similar legitimate commercial transaction.

29. Changes to These Terms

Afremov.com may update these Terms from time to time.

The version of these Terms applicable to a purchase is the version in effect when the order is placed, except where a subsequent modification is required by law or expressly agreed between the parties.

Changes to these Terms do not retroactively alter completed transactions unless legally required.

31. Acceptance of Terms

By placing an order through Afremov.com, the Customer acknowledges that the Customer has had an opportunity to review these Terms and agrees to be bound by them, together with the policies applicable to the transaction.

The Customer further acknowledges that Leonid Afremov S. de R.L. de C.V., Mexico, is the seller and contracting entity for purchases made through Afremov.com, regardless of the payment processor, shipping provider, fulfillment location, or other third-party service used in connection with the transaction.
